These Terms & Conditions (“Terms”) govern access to and use of the LayerControl website, software, services, licenses, downloads, and related products (collectively, the “Services”).

By accessing, purchasing, downloading, installing, activating, or using LayerControl, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Eligibility

You must be at least eighteen (18) years of age and legally capable of entering into binding agreements to use LayerControl.

By using the Services, you represent and warrant that you satisfy these requirements.

2. Nature of the Software

LayerControl is a trade management and trading utility software product.

LayerControl does not provide:

  • Financial advice
  • Investment advice
  • Trading recommendations
  • Portfolio management services
  • Brokerage services
  • Regulated financial services

Nothing contained within the software, website, documentation, marketing materials, communications, demonstrations, examples, tutorials, or support communications shall be construed as financial, investment, legal, tax, or professional advice.

All trading decisions remain solely the responsibility of the user.

3. User Responsibility

Users are solely responsible for:

  • Trading decisions
  • Position management
  • Risk management
  • Broker selection
  • Account management
  • Platform configuration
  • Regulatory compliance
  • Compliance with local laws and regulations

Trading financial markets involves substantial risk and may result in partial or total loss of capital.

Users acknowledge and accept all risks associated with trading activities.

4. No Guarantee of Results

LayerControl makes no representations, warranties, or guarantees regarding:

  • Profitability
  • Trading performance
  • Financial outcomes
  • Account growth
  • Risk reduction
  • Trade execution results

Past performance, demonstrations, testimonials, examples, marketing materials, educational content, or user experiences do not guarantee future performance or results.

5. Software License

Subject to compliance with these Terms, LayerControl grants the purchasing user a limited, non-exclusive, non-transferable, revocable license to use the software.

The license is granted solely to the individual or entity that purchased the license.

All ownership rights, intellectual property rights, and proprietary interests remain exclusively vested in LayerControl.

No ownership rights are transferred to users.

6. License Restrictions

Users may not:

  • Share licenses with third parties
  • Transfer licenses to another person or organization
  • Sell, sublicense, lease, rent, distribute, or commercially exploit the software
  • Reproduce or redistribute the software
  • Reverse engineer, decompile, disassemble, or attempt to derive source code
  • Circumvent licensing, activation, security, or protection mechanisms
  • Remove copyright, trademark, ownership, or licensing notices
  • Use the software for unlawful purposes

Violation of this section may result in immediate suspension or termination of access without notice, compensation, or refund.

7. Personal Device Usage

A license may be used by the licensed user on their personal devices and systems.

The license remains personal to the purchaser and may not be shared, assigned, transferred, resold, sublicensed, or otherwise provided to another individual or entity.

8. Trial Licenses

Trial licenses are offered solely at the discretion of LayerControl.

LayerControl reserves the right to:

  • Approve or deny trial requests
  • Limit functionality
  • Modify trial periods
  • Suspend or terminate trial access at any time

No user is entitled to receive a trial license.

9. Payments

All prices are displayed in the currency shown at checkout.

Payments are processed through third-party payment providers.

Users are responsible for providing accurate payment and billing information.

LayerControl reserves the right to modify pricing, licensing plans, features, promotions, or product offerings at any time.

Changes will not affect licenses already purchased.

10. Refund Policy

ALL SALES ARE FINAL.

Due to the nature of digital software, software licensing, downloadable products, activation systems, and immediate access to intellectual property, LayerControl does not provide refunds, returns, exchanges, credits, cancellations, or reimbursements once a purchase has been completed.

Dissatisfaction with performance, expectations, compatibility, trading outcomes, personal circumstances, or user preferences shall not create any entitlement to a refund.

Users are encouraged to evaluate the software through any available trial offering before purchasing.

11. Digital Content & Withdrawal Rights

By purchasing and receiving immediate access to downloadable software, license keys, activation credentials, digital content, or other electronically delivered products, the customer expressly consents to immediate performance of the contract.

The customer acknowledges and agrees that any statutory withdrawal, cancellation, cooling-off period, or similar consumer right that may otherwise apply under applicable law is waived to the maximum extent permitted by law once delivery of digital content or licensing access has commenced.

12. Software Availability

LayerControl strives to maintain availability but does not guarantee uninterrupted access.

The software, website, downloads, activation systems, updates, and related services may be modified, interrupted, suspended, restricted, or discontinued at any time without liability.

13. Updates and Modifications

LayerControl may release updates, bug fixes, enhancements, modifications, new features, or improvements at its discretion.

LayerControl is under no obligation to provide updates or maintain compatibility with any specific broker, platform, operating system, service provider, or third-party product.

14. Third-Party Services

LayerControl may interact with or depend upon third-party providers, including:

  • Trading platforms
  • Brokers
  • Hosting providers
  • Payment processors
  • Internet service providers
  • Software vendors

LayerControl shall not be responsible for:

  • Third-party outages
  • Broker errors
  • Connectivity failures
  • Platform malfunctions
  • Data inaccuracies
  • Third-party actions or omissions

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

LAYERCONTROL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • RELIABILITY
  • ACCURACY
  • AVAILABILITY
  • ERROR-FREE OPERATION

NO WARRANTY IS MADE THAT THE SOFTWARE WILL MEET USER EXPECTATIONS OR OPERATE WITHOUT INTERRUPTION.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAYERCONTROL SHALL NOT BE LIABLE FOR:

  • TRADING LOSSES
  • ACCOUNT LOSSES
  • LOST PROFITS
  • LOST OPPORTUNITIES
  • LOSS OF DATA
  • LOSS OF BUSINESS
  • INDIRECT DAMAGES
  • INCIDENTAL DAMAGES
  • CONSEQUENTIAL DAMAGES
  • SPECIAL DAMAGES
  • EXEMPLARY DAMAGES
  • PUNITIVE DAMAGES

USERS ACCEPT FULL RESPONSIBILITY FOR ALL TRADING ACTIVITIES, POSITIONS, DECISIONS, RESULTS, AND LOSSES.

IF, NOTWITHSTANDING THE FOREGOING DISCLAIMERS, LAYERCONTROL IS FOUND LIABLE FOR ANY CLAIM, LOSS, DAMAGE, OR CAUSE OF ACTION, THE MAXIMUM AGGREGATE LIABILITY OF LAYERCONTROL SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE USER FOR THE APPLICABLE LICENSE.

17. Indemnification

Users agree to defend, indemnify, and hold harmless LayerControl, its owners, operators, contractors, affiliates, licensors, representatives, successors, and assigns from and against any claims, liabilities, damages, losses, costs, expenses, legal fees, or demands arising from:

  • Use of the Services
  • Trading activities
  • Violation of these Terms
  • Violation of applicable laws
  • Misuse of the software

18. Intellectual Property

All intellectual property rights relating to LayerControl, including software, source code, designs, logos, branding, graphics, documentation, content, trademarks, and related materials, remain the exclusive property of LayerControl.
Users acquire no ownership rights, title, or interest in the Services, software, source code, trademarks, trade secrets, proprietary methods, business processes, documentation, or related intellectual property through purchase or use of a license.
Any unauthorized reproduction, modification, distribution, publication, disclosure, or exploitation of LayerControl intellectual property may result in legal action and termination of access to the Services.

No rights are granted except those expressly stated in these Terms.

19. Suspension and Termination

LayerControl may suspend, restrict, disable, or terminate access to the Services if:

  • These Terms are violated
  • Fraudulent activity is suspected
  • Unauthorized sharing occurs
  • Security concerns arise
  • Abuse of the Services is detected

Termination does not create any entitlement to a refund or compensation.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict-of-law principles.

21. Jurisdiction and Venue

Any dispute, claim, controversy, or legal proceeding arising out of or relating to these Terms, the Services, or any transaction involving LayerControl shall be submitted exclusively to the competent courts of the Netherlands.

Users expressly consent to such jurisdiction and venue.

22. Export Compliance and Sanctions

Users represent and warrant that they are not located in, ordinarily resident in, or subject to sanctions, embargoes, trade restrictions, or export control restrictions imposed under applicable laws.

Users agree not to access, use, export, re-export, transfer, or make available the Services in violation of any applicable export control, sanctions, or trade compliance laws.

23. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

24. Changes to These Terms

LayerControl reserves the right to modify these Terms at any time.

Updated versions will be published on this page together with an updated revision date.

Continued use of the Services following publication of revised Terms constitutes acceptance of those changes.
